Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Juno platform operated at heyjuno.online ("Service"), provided by Juno ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and, if acting on behalf of an organization, have the authority to bind that organization to these Terms. "You" and "your" refer to the individual or entity accessing the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the dashboard at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

2. Description of Service

Juno is a B2B SaaS platform that provides AI-powered product demonstration and lead qualification tools. The Service includes:

  • AI Demo Agent: An artificial intelligence agent that conducts personalized product demonstrations with website visitors in real-time via an embeddable widget.
  • Embeddable Widget: A JavaScript widget that Customers embed on their websites to enable visitor-facing AI conversations. The widget operates within a Shadow DOM for isolation.
  • Dashboard: A web-based management interface for configuring the AI agent, managing knowledge bases, reviewing conversations, tracking leads, viewing analytics, and managing billing.
  • Lead Qualification Engine: Automated BANT-based scoring that analyzes conversation data to qualify and prioritize leads.
  • Sandbox: An interactive demo environment that generates personalized product demos based on visitor qualification data.
  • API and SDK: Programmatic interfaces for integration with Customer systems.

3. Account Registration and Security

To use the Service, you must create an account with a valid email address and a strong password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly notifying us at hello@lore.surf of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Upload malicious content, malware, or code designed to disrupt the Service
  • Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Service or its AI models
  • Scrape, crawl, or use automated tools to extract data from the Service beyond the intended API usage
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Use the Service to generate content that is defamatory, abusive, harassing, threatening, obscene, or otherwise objectionable
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service in a way that could damage, disable, overburden, or impair our servers or networks
  • Circumvent any access controls, rate limits, or security measures

Violation of these terms may result in immediate suspension or termination of your account without prior notice.

5. Intellectual Property

5.1 Juno's Intellectual Property

The Service, including its software, algorithms, AI models, user interface designs, documentation, branding, and all related intellectual property, is and remains the exclusive property of Juno. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription period.

5.2 Customer Content

You retain full ownership of all content you upload to the Service, including knowledge base materials, product descriptions, and configuration data ("Customer Content"). By uploading Customer Content, you grant us a limited license to process, store, and use it solely for the purpose of providing and improving the Service.

5.3 Visitor Data Ownership

Conversation transcripts and visitor data collected through the widget are owned by the Customer on whose website the interaction occurred. Juno processes this data on the Customer's behalf as described in our Privacy Policy.

6. Payment Terms

6.1 Pricing

Juno offers custom pricing based on usage volume, feature requirements, and support tier. Pricing details are provided during onboarding and confirmed in your subscription agreement.

6.2 Payment Processing

All payments are processed through Razorpay. By providing payment information, you authorize Razorpay to charge the applicable fees. You agree to Razorpay's terms of service in connection with payment processing.

6.3 Billing Cycle

Subscriptions are billed monthly or annually, as selected at the time of purchase. Fees are charged in advance at the beginning of each billing cycle. Subscription renewals are automatic unless cancelled before the renewal date.

6.4 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 30 days of your initial subscription, you may request a full refund by contacting hello@lore.surf. After the 30-day period, fees are non-refundable except where required by applicable law. Partial-month refunds are not provided for mid-cycle cancellations.

6.5 Taxes

All fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes associated with your use of the Service, except for taxes based on Juno's income.

7. Data Processing

With respect to personal data processed through the Service:

  • Customer as Data Controller: The Customer determines the purposes and means of processing visitor personal data collected through the widget. The Customer is responsible for providing appropriate privacy notices to their visitors and obtaining any necessary consents.
  • Juno as Data Processor: Juno processes visitor data on behalf of the Customer, strictly in accordance with the Customer's instructions and as necessary to provide the Service. We do not independently determine the purposes of processing visitor data.
  • Sub-processors: We engage sub-processors (Anthropic, OpenAI, Razorpay, Resend, Vercel, Supabase) as described in our Privacy Policy. We maintain data processing agreements with each sub-processor.

Customers requiring a formal Data Processing Agreement (DPA) may request one by contacting hello@lore.surf.

8. AI Disclaimer

The Service uses artificial intelligence to generate responses during product demonstrations. You acknowledge and agree that:

  • AI-generated content may be inaccurate. Despite being trained on Customer-provided knowledge bases, the AI may produce responses that are incorrect, incomplete, misleading, or inappropriate. Juno does not guarantee the accuracy of any AI-generated statement.
  • AI responses are not professional advice. Nothing stated by the AI agent constitutes legal, financial, medical, or other professional advice.
  • Customer responsibility. Customers are responsible for reviewing and monitoring the AI's responses and ensuring the accuracy of information conveyed to their visitors. Customers should maintain their knowledge bases to minimize inaccuracies.
  • No liability for AI statements. Juno is not liable for any damages, losses, or consequences arising from reliance on AI-generated content by Customers, Visitors, or any third party.

9. Service Level

We strive to maintain high availability and will use commercially reasonable efforts to keep the Service operational. However:

  • The Service is provided on a best-effort basis. We do not guarantee any specific uptime percentage unless a separate Service Level Agreement (SLA) has been executed.
  • We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without notice.
  • Enterprise customers may negotiate a formal SLA with defined uptime commitments, response times, and service credits by contacting us.
  • The Service depends on third-party infrastructure (Vercel, Supabase, Anthropic, OpenAI). We are not responsible for outages or degradation caused by these providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Juno's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Juno in the twelve (12) months immediately preceding the event giving rise to the claim.
  • In no event shall Juno be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or business interruption, regardless of the cause of action or theory of liability, even if Juno has been advised of the possibility of such damages.
  • Juno shall not be liable for damages arising from: (a) your use of or inability to use the Service; (b) any AI-generated content; (c) unauthorized access to your account due to your failure to secure credentials; (d) interruptions caused by third-party service providers.

11. Indemnification

You agree to indemnify, defend, and hold harmless Juno, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or regulation
  • Customer Content that infringes on any third-party intellectual property rights
  • Your failure to provide adequate privacy notices or obtain necessary consents from Visitors
  • Any dispute between you and your Visitors arising from AI-generated content or data processing

12. Termination

12.1 Termination by Either Party

Either party may terminate the subscription by providing 30 days' written notice to the other party. Notice should be sent via email to hello@lore.surf (for termination by Customer) or to the Customer's registered email address (for termination by Juno).

12.2 Termination for Cause

We may suspend or terminate your access immediately and without notice if you materially breach these Terms, engage in prohibited conduct (Section 4), fail to pay fees when due, or if continued provision of the Service would violate applicable law.

12.3 Effect of Termination

Upon termination:

  • Your access to the dashboard and API will be revoked
  • The widget will stop functioning on your website
  • You may request an export of your data (conversations, leads, knowledge base) in JSON or CSV format within 30 days of termination
  • After 90 days post-termination, all Customer data will be permanently deleted from our systems, except as required by law or for billing records
  • Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

14. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation for a period of at least 30 days. Negotiations shall be initiated by written notice to the other party.

If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English, with the seat of arbitration in Bengaluru, Karnataka, India. The arbitral tribunal shall consist of a sole arbitrator mutually agreed upon by the parties. The arbitrator's decision shall be final and binding.

Nothing in this section shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

15. Entire Agreement

These Terms, together with the Privacy Policy and any subscription agreement or order form executed between the parties, constitute the entire agreement between you and Juno with respect to the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter herein.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of Juno to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
